关于遵守出口管制法规的声明
“芯天下技术股份有限公司”（以下简称“芯天下”或“公司”）在发展过程中始终坚持严格遵守所有业务适用地的国家和国际出口管制法律法规，切实履行出口管制责任和义务。芯天下坚信，自觉遵守和执行出口管制法律法规的要求，能够使公司有效规避和防范贸易合规风险，增强芯天下在国内外市场的竞争力，推动芯天下的长期可持续发展。
芯天下在此郑重承诺：芯天下将严格遵守其业务开展所在国家及地区的适用法律，包括联合国、中国、美国和欧盟等所有适用的出口管制法律法规，并将法律法规置于商业利益之上。
为了确保符合适用的出口管制法律法规要求，芯天下不断完善出口管制合规管理制度，推动相关要求在适用业务领域和职能部门的落实与执行；加强对员工和管理人员的出口管制合规能力培训，提升员工和管理人员的合规意识；督促参与芯天下出口管制合规的各方切实履责。芯天下将进一步与中国政府出口管制主管部门、相关非政府组织及出口管制专家建立和保持密切联系，及时了解相关政策信息，寻求专业指导和权威建议。
如果芯天下有理由认为，要出口的产品、技术或服务可能被客户或最终客户用于发展或制造大规模杀伤性武器、运载工具或未经授权的常规军事装备，不利于接收国家和地区的和平稳定，或是直接或间接落入恐怖组织或个人手中，芯天下将拒绝出口相关产品、技术和服务。
芯天下全体员工承诺将为公司实现出口管制合规的目标做出努力，遵守可适用的出口管制法律法规以及公司为降低风险而建立的合规制度和流程。不遵守适用法律法规的员工，将依法承担法律责任。
本声明适用于芯天下及芯天下的所有分公司、子公司。
公司将例行对本声明进行审核，根据相关法律法规进行重新修订。

Compliance Statement on Export Control Regulations
XTX Technology Co., Ltd. ("XTX" or the "Company") remains steadfastly committed to strict compliance with all applicable national and international export
control laws andregulations in every jurisdiction where it operates. The Company diligently fulfills its export control responsibilities and obligations. XTX firmly
believes that proactive adherence toexport control requirements enables effective mitigation of trade compliance risks, enhances its competitiveness in
global markets, and driveslong-term sustainable growth.
XTX solemnly declares:
The Company shall strictly comply with all applicable export control laws and regulations in its operating jurisdictions, including but not limited to those of
the United Nations,China, the United States, and the European Union. Legal compliance shall always take precedence over commercial interests.
To ensure alignment with applicable export control requirements, XTX continuously:
Enhances its export control compliance management system;
Implements and enforces regulatory requirements across relevant business units and functions;
Strengthens export control compliance training for employees and management to elevate awareness;
Ensures all parties involved in XTX’s export control compliance fulfill their obligations.
XTX will further establish and maintain close collaboration with Chinese export control authorities, relevant non-governmental organizations, and experts to
stay informed onpolicy updates and seek professional guidance.
XTX will refuse to export products, technologies, or services if there is reason to believe they may be used by customers or end-users for:
Developing or manufacturing weapons of mass destruction, delivery systems, or unauthorized conventional military equipment;
Activities detrimental to peace and stability in recipient countries/regions;
Direct or indirect transfer to terrorist organizations or individuals.
All XTX employees commit to:
Upholding applicable export control laws and regulations;
Adhering to the Company’s compliance protocols and risk-mitigation procedures;
Contributing to the achievement of export control compliance objectives.
Employees failing to comply with applicable regulations shall bear legal liability.
Scope:
This Statement applies to XTX and all its branch offices and subsidiaries.
Review:
The Company will periodically review and revise this Statement in accordance with relevant laws and regulations.
